Your biggest E&O exposure isn't a coverage gap — it's a bad contractor referral. Here's how to build a vetted network that protects your license.

Independent agents don't get sued for coverage decisions nearly as often as they get sued for referrals that went sideways. A contractor who damages a home you referred them to becomes your problem.

The three E&O scenarios you must prevent

  1. Uninsured contractor damages the home → homeowner sues you for negligent referral.
  2. Aggressive upsell by contractor → homeowner claims agent-contractor collusion.
  3. Missed mitigation window by slow contractor → mold claim you can't get paid.

Every one of these is preventable with a vetting process.

The vetting checklist (annual)

  • Certificate of insurance ($2M general liability minimum, $1M pollution)
  • IICRC certifications for water, mold, structural drying
  • 3 references from other independent agents
  • Written pricing schedule
  • Xactimate proficiency (yes/no)
  • BBB rating (A- or better)
  • Google review count + average (25+ reviews, 4.5+ stars)
  • No pending state license complaints
  • Signed agent-neutral referral agreement (no kickbacks either direction)

The document to keep in your file

A "Preferred Vendor List" with the above data, dated and signed by you annually. If you're ever sued for a negligent referral, this document is the difference between summary dismissal and a 6-figure settlement.

The referral agreement clause that matters

Have your vendors sign a one-page agreement that includes:

  • "Contractor agrees to notify agent within 24 hours of any claim dispute or homeowner complaint."
  • "Contractor agrees to maintain insurance limits and notify agent of any coverage lapse."
  • "Neither party pays or receives compensation for referrals."

That last one is critical. Many E&O carriers will deny defense if a hidden kickback is discovered.

Annual audit

Every January:

  • Re-verify all COIs
  • Refresh Google review counts
  • Ask each vendor for their current dispute rate
  • Drop any vendor with declining scores

Your license is worth more than any single referral. Protect it like it is.
